Is an electronically signed NDA legally binding?
Yes. In the United States the federal ESIGN Act and the Uniform Electronic Transactions Act, adopted by nearly every state, give electronic signatures the same legal effect as handwritten ones. FastNDA records what courts look for: each signer’s consent to sign electronically, when and from where they signed, and a SHA-256 fingerprint of the exact text both of you signed — all printed on a certificate of completion attached to the PDF.
Does the other party need an account?
No. Neither of you does. They get an email with a private link, read the agreement and sign — about two minutes. You get a private link of your own to track it, send a reminder or cancel.
Mutual or one-way — which do I need?
Mutual if both sides will share confidential information, as in most partnership, M&A and vendor talks. One-way if only one side will: showing your product to a contractor, a candidate or a potential investor. Not sure? Mutual is the safe default; it protects you either way.
Can I change the wording?
You choose the type, the purpose, how long it lasts and which state’s law governs; the clauses themselves are a fixed, balanced standard, which is why the other side can sign it quickly instead of sending it to their lawyer. If you need bespoke terms, an NDA tool is the wrong tool — talk to a lawyer.
What do I get at the end?
A countersigned PDF, emailed to both of you, with a certificate of completion as its last page: both signatures, timestamps, IP addresses, the audit trail and the document’s fingerprint. You can download it again from your link at any time.
What if they don’t sign?
Send a reminder from your link, or cancel it. If they decline, you can edit the NDA and send it again at no extra charge. If they never sign, email us within 30 days and we’ll refund you.
Is this legal advice?
No. FastNDA is a standard agreement and an e-signature service, not a law firm. The template is written to be fair to both sides and to suit common US business situations; for an unusual or high-stakes deal, have a lawyer look at it.
Which countries does it work in?
The agreement is governed by the law of a US state or the District of Columbia that you choose. The other party can be anywhere.
